1. Acceptance of Terms

By accessing or using BreederHQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including users of our web application, mobile applications, and any related services or features.

2. Description of Service

BreederHQ is a breeding management platform that allows professional animal breeders to manage their breeding programs, including animal records, pedigrees, genetics tracking, client management, invoicing, and marketplace listings.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and update your account information to keep it accurate
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payment

BreederHQ offers both free and paid subscription plans. By subscribing to a paid plan:

  • You authorize us to charge your payment method on a recurring basis
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings
  • Refunds are provided in accordance with our refund policy

5. Acceptable Use

You agree NOT to use the Service to:

  • Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity or falsely represent your affiliation
  • Upload content containing viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated tools, bots, or scripts to access or scrape the Service
  • Collect or harvest user information without consent
  • Engage in any activity that could damage, disable, or impair the Service
  • Use the Service for any illegal purpose or in violation of any laws

6. User Content

Ownership

You retain ownership of all content you upload, post, or transmit through the Service ("User Content"). BreederHQ does not claim ownership of your User Content.

License Grant

By uploading User Content, you grant BreederHQ a worldwide, non-exclusive, royalty-free license to use, store, display, and transmit your User Content solely for the purpose of providing and improving the Service.

Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful or objectionable.

7. Marketplace

If you list animals or services on the BreederHQ Marketplace:

  • You are solely responsible for the accuracy of your listings
  • You must comply with all applicable laws regarding animal sales
  • BreederHQ is not a party to transactions between breeders and buyers
  • Trust badges are earned through documented behavior and cannot be purchased
  • We may remove listings that violate our policies

8. Client Portal

When you use the Client Portal feature:

  • You are responsible for the content you share with your clients
  • You must obtain necessary consents before sharing client information
  • Contracts and agreements created through the portal are between you and your clients

9. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control

10. Intellectual Property

The Service, including its design, features, code, and content (excluding User Content), is owned by BreederHQ and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEDERHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless BreederHQ and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

14. Termination

You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.

Upon termination:

  • Your right to access the Service will immediately cease
  • You may request export of your data before termination
  • We may delete your data after a reasonable retention period

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BreederHQ.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent.
