BreederHQ Legal Definitions Schedule

Purpose and Scope

This Legal Definitions Schedule ("Schedule") defines capitalized terms used across the BreederHQ legal-document set. It is incorporated by reference into each of the following documents and any subsequent document that incorporates it explicitly:

• Acceptable Use Policy
• Privacy Policy
• Breeder/Seller Agreement
• Service Provider Agreement
• Buyer Terms
• Marketplace Transaction Terms

Where a defined term in this Schedule conflicts with a definition in one of the incorporating documents, the incorporating document controls for purposes of that document only.

This Schedule is versioned independently of the incorporating documents. A change to a defined term in this Schedule that materially affects the rights or obligations of any User constitutes a material modification under the modification clause of each incorporating document, and BreederHQ will provide notice as required by those clauses.

Definitions

Account-Level Terms

"BreederHQ," "we," "us," "our" — BreederHQ LLC, a Kansas limited liability company, and its officers, directors, employees, agents, and affiliates.

"Services" — The BreederHQ web application, mobile applications, Marketplace, Client Portal, embeddable widget, public application programming interface, and all related features and infrastructure operated by BreederHQ.

"User" — Any individual or entity that accesses or uses the Services, including without limitation Providers, Buyers, and visitors who browse the Services without an account.

"Account" — A registered user account on the Services, including all credentials and data associated with that account.

Provider and Buyer Terms

"Provider" — Any User that, through the Services, lists animals or services, manages a breeding or animal-care operation, or otherwise holds itself out to potential Buyers. The term includes both Breeder/Seller Providers and Service Providers.

"Breeder/Seller Provider" — A Provider whose Services-related activity primarily involves the breeding, sale, transfer, or placement of animals.

"Service Provider" — A Provider whose Services-related activity primarily involves rendering services to animals or animal owners, including without limitation farriers, trainers, veterinarians, groomers, transporters, pet sitters, equine instructors, and other animal-care professionals.

"Buyer" — Any User that, through the Services, browses, inquires about, reserves, joins a waitlist for, or purchases animals or services.

"User Agreement" — Any contractual document between a User and BreederHQ that the User has accepted, including without limitation the Terms of Service, the Acceptable Use Policy, the Privacy Policy, the Breeder/Seller Agreement, the Service Provider Agreement, the Buyer Terms, the Marketplace Transaction Terms, and this Schedule.

Content and Documentation Terms

"Provider Content" — Any content submitted by a Provider to the Services, including without limitation text, photographs, videos, documents, attestations, credentials, registry records, pricing, listings, profile information, communications, and AI-assisted content the Provider has accepted as the Provider's own under §7A or §7B of the Terms of Service.

"Buyer Content" — Any content submitted by a Buyer to the Services, including without limitation inquiries, reviews, ratings, communications, and profile information.

"User Content" — Provider Content and Buyer Content collectively.

"Supporting Documentation" — Any document, file, image, or record uploaded by a Provider in support of a Credential Attestation, a Provider representation, or a Provider listing.

Verification, Identity, and Credential Terms

The terms in this section are the contractual definitions BreederHQ uses for "verification" and related concepts. Marketing copy, product user-interface labels, help articles, and informal communications do not modify these definitions; in the event of conflict, this Schedule and the incorporating documents control.

"Verify," "Verified," "Verification" — Reserved. BreederHQ does not, in its own capacity, "verify," "vet," "certify," "endorse," "screen," "approve," "validate," or "warrant" any Provider, Provider Content, Credential Attestation, or Supporting Documentation, except as expressly limited by the Third-Party Identity Verification Passthrough mechanism and the Third-Party Registry Passthrough mechanism defined below. The word "verify" appears in any User Agreement only where (a) the User is doing the verifying (for example, a Buyer's independent due diligence), (b) the context is identity verification performed by a Third-Party Identity Verification Provider under the passthrough mechanism, or (c) the context is credential confirmation performed by a public third-party registry under the passthrough mechanism.

"Third-Party Identity Verification Provider" — A third-party service provider engaged by BreederHQ to perform identity verification on Users, including (as of the effective date of this Schedule) Stripe Identity, operated by Stripe, Inc. The identity verification is performed by the third-party provider in accordance with that provider's own procedures, terms, and applicable law. BreederHQ does not perform the identity verification; BreederHQ engages the third-party provider and surfaces the result.

"Third-Party Identity Verification Passthrough" — A display on the Services indicating that a Third-Party Identity Verification Provider returned a successful identity verification for a User, together with the date of the verification and (where the Third-Party Identity Verification Provider permits) attribution to the provider. The display reflects only that, as of the date shown, the named Third-Party Identity Verification Provider returned a successful verification. The verification itself is performed by the Third-Party Identity Verification Provider and is governed by that provider's terms and procedures.

"Public Registry" — A registry operated by a third-party issuing body that maintains a publicly searchable record of credentials, certifications, licenses, or other professional standing. Examples include without limitation the American Farrier's Association, the American Kennel Club, the Orthopedic Foundation for Animals, the Penn Hip Improvement Program, the Canine Health Information Center, the Council for the Certification of Professional Dog Trainers, state veterinary licensing boards, and similar bodies. A Public Registry is operated by the issuing body and is not affiliated with or controlled by BreederHQ.

"Third-Party Registry Passthrough" — A display on the Services indicating that BreederHQ queried a named Public Registry on a specified date and the Public Registry returned a matching record for a Provider's Credential Attestation, together with a hyperlink to the source record. The display reflects only the result of BreederHQ's query at the date shown. BreederHQ does not monitor the Public Registry for subsequent changes, withdrawals, expirations, or amendments. The Public Registry is the authoritative source.

"Credential Attestation" — A Provider's representation, made through the Services, that the Provider holds a professional credential, including without limitation a certification, license, accreditation, membership, continuing-education status, or registry status. A Credential Attestation may be displayed on the Services as provider-attested only, or, where BreederHQ has implemented an integration with the issuing body's Public Registry and the Public Registry returns a matching record, as a Third-Party Registry Passthrough.

"Profile Indicator" — A factual indicator BreederHQ displays on a Provider's profile or listing, reflecting one or more of (a) account-history facts about the Provider (such as date of account creation, response time to Buyer inquiries, count of completed transactions, count of unresolved disputes), (b) Provider-attested facts the Provider has authorized for display, (c) a Third-Party Identity Verification Passthrough, or (d) a Third-Party Registry Passthrough. A Profile Indicator is a display of fact; it is not BreederHQ's editorial evaluation, ranking, endorsement, or warranty of the Provider.

"Credential Dispute" — A report received by BreederHQ from any source alleging that a Provider's displayed Credential Attestation or Supporting Documentation is false, inaccurate, expired, revoked, or otherwise inauthentic. A Credential Dispute triggers the procedure set forth in §8.4 of the Acceptable Use Policy.

Marketplace and Transaction Terms

"Marketplace" — The portion of the Services through which Providers list animals and services and through which Buyers discover, inquire about, reserve, and purchase such animals and services.

"Listing" — A publicly displayed Provider Content unit on the Marketplace describing an animal or service offered by a Provider.

"Transaction" — Any arrangement initiated, facilitated, or conducted through the Marketplace between a Provider and a Buyer, including without limitation an animal purchase, a service booking, a waitlist reservation, a stud service, a semen purchase, or an embryo transfer.

"Waitlist Reservation Fee" — A payment made by a Buyer to a Provider to reserve a position on the Provider's waitlist for a future animal or litter.

"Payment Processor" — A third-party payment processor engaged by BreederHQ to process payments between Providers and Buyers. As of the effective date of this Schedule, the Payment Processor is Stripe, Inc.

"Platform Fee" — A fee charged by BreederHQ to a Provider for use of the Services, which may be assessed as a subscription fee, a transaction fee, a commission, a boost or promotion fee, or any other fee structure published by BreederHQ.

Conduct and Enforcement Terms

"Acceptable Use Policy" or "AUP" — The BreederHQ Acceptable Use Policy, as updated from time to time, which establishes standards of conduct for all Users.

"Prohibited Conduct" — Any conduct prohibited by the Acceptable Use Policy, any User Agreement, or applicable law.

"Enforcement Action" — Any action BreederHQ takes in response to Prohibited Conduct, including without limitation warning, content removal, suspension of display of specific content, temporary account suspension, permanent account termination, and reporting to law enforcement or regulatory authorities.

Data and Privacy Terms

"Personal Information" — Has the meaning given in the Privacy Policy, which incorporates the meanings given under applicable data-protection law (including without limitation the California Consumer Privacy Act as amended and the European Union General Data Protection Regulation where applicable).

"AI Features" — The artificial-intelligence-powered features of the Services, including without limitation the AI Assistant, Scout AI, and any feature that uses third-party artificial intelligence technology to generate or assist with text, images, or other content. AI Features are further described in §7A of the Terms of Service and §4.4 of the Privacy Policy.

"AI-Assisted Content" — Content generated in whole or in part using AI Features and accepted by a Provider for display on the Services. AI-Assisted Content the Provider has accepted under the in-product attestation constitutes Provider Content for all purposes under the User Agreements.

Order of Precedence Terms

"Order of Precedence" — The hierarchy established in §13.5 of the Terms of Service governing inconsistencies among the User Agreements and between the User Agreements and other BreederHQ communications.

"Non-Contractual Communication" — Any communication from BreederHQ that is not a User Agreement, including without limitation marketing copy, product help articles, in-product user-interface labels, application-programming-interface response field names and values, structured-data markup (including schema.org), third-party-site embeddable widget displays, social-media posts, in-product banners, and email or push notifications other than those expressly designated as part of a User Agreement. Non-Contractual Communications are illustrative only, are not part of any User Agreement, and do not modify, expand, or contradict the rights and obligations of the parties under the User Agreements.

This Schedule is incorporated by reference into each of the User Agreements identified in the Purpose and Scope section. A User's acceptance of any User Agreement that incorporates this Schedule constitutes acceptance of this Schedule.
